Ian is a Consultant at Thomson Wilks Attorneys, working out of their Durban office, having practised at one of the top three international law firms in South Africa where he headed up the Corporate, Mergers and Acquisitions department of their Durban office. Ian has been practicing as an admitted attorney of the High Court of Namibia, for 12 years. Ian is well versed with the legal landscape of Namibia. Ian specialises in matters pertaining to financial institutions, energy, infrastructure, mining and commodities and technology and innovation and also advises on Namibian law matters. He has extensive experience in the corporate and investment banking business in Namibia and South Africa. The latter includes advising on corporate banking matters, transactional banking, investment banking, debt capital markets, financial institutions, investor services and global markets. In addition thereto, Ian is responsible for drafting all legal documentation, implementing risk mitigation policies, ensuring compliance with good corporate governance and applicable procedures and policies, advising the credit department for Corporate and Investment Banking on security structures best suitable for transactions, engaging with senior management on legislative changes and the impact thereof on business, ensuring adherence to the applicable regulatory environment within which financial institutions conduct their affairs. He is well versed with LMA styled finance documents, security documentation and incidental documentation in respect thereof. The work undertaken by him in the financial markets includes advising on the structuring of leveraged financing, real estate financing, project financing, acquisition financing as well as all the applicable laws pertaining thereto, and the drafting and negotiation of term sheets. Ian also regularly advises on escrow products, global market products, such as hedging and foreign exchange transactions. Ian has undertaken various transactions that are of a cross-jurisdictional and multi-jurisdictional nature and he has also attended to advising as well as prosecuting competition commission matters in relation to the projects. Ian often represents clients in relation to matters arising from interaction with the Namibian Competition Commission and attends to the drawing of the necessary merger notices and prosecutes the filings with the said regulator. Ian advised on mergers and acquisitions between telecommunication companies and broadcasting companies. He attended to the negotiating and then drawing of the necessary transactional documentation in regards to international interconnection agreements between telecommunication service providers, which includes multi-jurisdictional transactions of this kind. Ian also regularly advised on regulatory matters regarding the ICT law in Namibia and moved new applications for telecommunication and broadcasting licenses. He has been involved in the mining sector of Namibia Since 2007, where he advises international mining houses on various asset and plant upgrades and financing transactions, along with general advice pertaining to mining matters in Namibia as well as M&A's. He has also advised clients and negotiated numerous commercial and international agreements in fields including information technology, employment, real estate, telecommunications, transport, energy, oil and gas and financing (inclusive of negotiating on the terms of the LMA), corporate restructuring and mergers and acquisitions.
